Agreement

These Terms of Service ("Terms") govern your access to and use of EXCEED+APP's websites, applications, and related services (the "Services"). By accessing or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

Eligibility and accounts

You must provide accurate registration information and keep your credentials secure. You are responsible for activity under your account. Notify us or your organization's admin promptly if you suspect unauthorized access.

Use of the Services

You agree not to:

• Violate applicable law or third-party rights;
• Attempt to probe, scan, or test the vulnerability of the Services without authorization;
• Interfere with or disrupt the Services or servers or networks connected to them;
• Reverse engineer, decompile, or disassemble any part of the Services except where expressly permitted by law;
• Use the Services to distribute malware, spam, or unlawful content;
• Circumvent access controls, quotas, or security features.

Your content

You retain ownership of content you submit. You grant us a license to host, process, display, and distribute your content solely as needed to provide and improve the Services you use, including backups and security monitoring, consistent with our Privacy Policy.

Intellectual property

EXCEED+APP and its licensors own all rights in the Services, branding, and software, excluding your content. No rights are granted except the limited license to use the Services in accordance with these Terms.

Third-party services

The Services may integrate with third-party products (for example, sign-in providers). Your use of those products is subject to the third party's terms and privacy policy.

Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXCEED+APP AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (IF NO FEES APPLIED).

Indemnity

You will defend and indemnify EXCEED+APP and its affiliates, officers, and employees against claims arising from your content, your use of the Services in violation of these Terms, or your violation of law or third-party rights, subject to our reasonable cooperation.

Suspension and termination

We may suspend or terminate access to the Services for conduct that we reasonably believe violates these Terms, creates risk, or is required for legal or security reasons. You may stop using the Services at any time. Provisions that by their nature should survive will survive termination.

Changes

We may modify these Terms or the Services. We will post updated Terms on this page and update the "Last updated" date. Material changes may require additional notice where required by law. Continued use after changes become effective constitutes acceptance of the revised Terms.

Governing law

These Terms are governed by the laws applicable to your agreement with EXCEED+APP, excluding conflict-of-law rules, unless a mandatory law of your jurisdiction provides otherwise.
